Should We Incorporate As LLP Or LTD – Plastering Company? Myself and a friend are looking to set up a plastering and decorating business, but we’re not entirely sure how we should incorporate the company.

I’ve read plenty of articles on the internet, but am slightly confused by the vast amounts of opinions and information available.

The business will literally be myself and my friend, we do not intend on taking on additional workers (not for the foreseeable future anyway), we do not intend to sell shares in the business either. We will be providing a Plastering & Decorating service, including other related works.

At the moment I’m kind of swinging towards incorporating as an LLP rather than an LTD company. From what I can make out, with an LLP company there will be less paperwork and administrative work to undertake, and we would pay less tax overall. Am I correct in thinking this?

The only reason we need to incorporate the company is due to the fact that some of the contractors we are trying to attain work from require us to have a company registration number for paperwork etc, we also need to have a company registration number to open a business bank account.

Also, we would like to pay ourselves a salary, that would be variable dependant on the profit we are making; a certain percentage of the profit from each job for example. We would also like to pay ourselves a dividend twice per annum; again, a certain percentage of the capital profit held by the company at that time.

Do we have to pay income tax on the dividends as well as our salary, and if so does the amount of tax payable vary with LLP and LTD companies?

We are really stuck as to what we should do so any advice you can offer us would be greatly appreciated.

    Many thanks

Does The IRS Need A Warrant To Read Your Emails? “The Internal Revenue Service (IRS) has claimed that agents do not need warrants to read people’s emails, text messages and other private electronic communications, according to internal agency documents.

The American Civil Liberties Union (ACLU), which obtained the documents through a Freedom of Information Act request, released the information on Wednesday.

In a 2009 handbook, the IRS said the Fourth Amendment does not protect emails because Internet users “do not have a reasonable expectation of privacy in such communications.” A 2010 presentation by the IRS Office of General Counsel reiterated the policy.

Under the Electronic Communications Privacy Act (ECPA) of 1986, government officials only need a subpoena, issued without a judge’s approval, to read emails that have been opened or that are more than 180 days old.

Privacy groups such as the ACLU argue that the Fourth Amendment provides greater privacy protections than the ECPA, and that officials should need a warrant to access all emails and other private messages.”

    http://thehill.com/blogs/hillicon-valley/technology/292989-irs-claims-it-can-read-emails-without-a-warrant

    http://www.aclu.org/blog/technology-and-liberty-national-security/new-documents-suggest-irs-reads-emails-without-warrant

“Everyone knows the IRS is our nation’s tax collector, but it is also a law enforcement organization tasked with investigating criminal violations of the tax laws. New documents released to the ACLU under the Freedom of Information Act reveal that the IRS Criminal Tax Division has long taken the position that the IRS can read your emails without a warrant—a practice that one appeals court has said violates the Fourth Amendment (and we think most Americans would agree).

Last year, the ACLU sent a FOIA request to the IRS seeking records regarding whether it gets a warrant before reading people’s email, text messages and other private electronic communications. The IRS has now responded by sending us 247 pages of records describing the policies and practices of its criminal investigative arm when seeking the contents of emails and other electronic communications.

So does the IRS always get a warrant? Unfortunately, while the documents we have obtained do not answer this question point blank, they suggest otherwise. This question is too important for the IRS not to be completely forthright with the American public. The IRS should tell the public whether it always gets a warrant to access email and other private communications in the course of criminal investigations. And if the agency does not get a warrant, it should change its policy to always require one.”
